General Terms and Conditions (GTC)

§1 Scope of Application

1.1. These General Terms and Conditions (GTC) apply to all business transactions, consulting services, and AI-based solutions provided by KI Beratung und strategische Investitionen (hereinafter referred to as the "Company").
1.2. These GTC govern both the provision of advisory services to third parties and internal asset-related operations, unless otherwise agreed upon in individual cases.
1.3. Conflicting terms and conditions of the contractual partner shall not apply unless the Company expressly agrees to their validity in writing.
1.4. These GTC shall also apply to all future legal transactions within the scope of the Company's business activities.

§2 Services and Areas of Activity

2.1. The Company provides specialized consulting services in the fields of technology and strategy, as well as services for the implementation of Artificial Intelligence (AI).
2.2. Beyond providing services, the Company manages its own assets and the acquisition and operation of tangible assets in the field of robotics and AI technologies.
2.3. The Company is entitled to utilize qualified subcontractors to fulfill its consulting and service obligations.
2.4. The Company may maintain branches domestically and abroad and hold interests in similar enterprises.

§3 Conclusion of Contract

3.1. Contracts for services or the acquisition of assets are established through written confirmation by the Company or by the actual commencement of consulting activities.
3.2. Amendments to the contract or supplementary agreements require written form to be effective.

§4 Prices and Terms of Payment

4.1. All fees and prices are net amounts, subject to applicable statutory value-added tax.
4.2. Payments are due within the agreed periods without any deductions.
4.3. In the event of payment default by the contractual partner, the Company is entitled to claim default interest at the statutory rate.
4.4. Expenses and additional costs incurred at the customer's request will be invoiced separately.

§5 Duties of Cooperation

5.1. The client is obliged to provide all documents and information necessary for the consulting or technology transfer in a timely and complete manner.
5.2. For consulting services, the customer is responsible for providing the necessary interfaces and data access required to execute the order.

§6 Liability

6.1. The Company shall only be liable without limitation for damages resulting from intent or gross negligence.
6.2. In cases of simple negligence, liability is only assumed for the breach of essential contractual obligations.
6.3. Liability is limited to foreseeable damages typical for the contract.
6.4. Liability for lost profit or loss of data is excluded to the extent permitted by law.
6.5. Compensation claims expire within one year after the injured party becomes aware of the damage.

§7 Confidentiality and Data Protection

7.1. The parties undertake to maintain secrecy regarding all confidential information disclosed during the consulting or cooperation process.
7.2. Personal data is processed exclusively in accordance with the provisions of the GDPR and applicable data protection laws.

§8 Intellectual Property

8.1. All copyrights to designs, models, and software codes created within the scope of the consulting remain with the Company.
8.2. Use or reproduction by third parties requires the express written permission of the Company.

§9 Termination

9.1. Consulting contracts and long-term obligations may be terminated with four weeks' notice to the end of the month, unless otherwise agreed in individual contracts.
9.2. The right to extraordinary termination for good cause remains unaffected.

§10 Jurisdiction and Applicable Law

10.1. The law of the Federal Republic of Germany shall apply exclusively.
10.2. The place of jurisdiction for all disputes is the registered office of the Company.

§11 Severability Clause

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a legally permissible regulation that comes closest to the economic purpose.
